YOU HEREBY GRANT AGENCY AUTHORITY TO ANY PARTY WHO CLICKS ON THE “I AGREE” BUTTON OR OTHERWISE INDICATES ACCEPTANCE TO THESE TERMS AND CONDITIONS ON YOUR BEHALF.

Dispute Resolution

UNLESS YOU TIMELY OPT-OUT OF ARBITRATION IN ACCORDANCE WITH THESE TERMS AND CONDITIONS, YOU AND WE AGREE THAT ALL DISPUTES BETWEEN YOU AND US ARISING OUT OF OR RELATED TO THESE TERMS AND CONDITIONS OR THE SERVICE, WITH LIMITED EXCEPTIONS, WILL BE RESOLVED BY BINDING AND FINAL ARBITRATION AND YOU AND WE WAIVE ALL RIGHTS TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION, AS FURTHER SET FORTH BELOW.

1. About Brite Dynamics; The Platform and Service

Brite Dynamics, and/or its subsidiaries and affiliates (collectively, “Brite Dynamics,” “Brite,” “we,” or “us”) owns and operates one or more websites, web applications, and other online services (collectively, the “Platform”).

Your access and use of the Platform, any part thereof, or anything associated therewith, including its content (“Content”), any products or services provided through the Platform or otherwise by Brite Dynamics, communications and personalized recommendations based on your use of the Platform, and any affiliated website, software, or application owned or operated by Brite Dynamics (collectively, including the Platform and the Content, the “Service”) are governed by these Terms and Conditions (“Agreement”).

2. Acceptance of Terms and Conditions

Your access to and use of the Service is subject to this Agreement, as well as all applicable laws and regulations.

If you do not accept and agree to be bound by this Agreement in its entirety, you are strictly prohibited from visiting, accessing, registering with, and/or using the Service or any information or Content provided through the Service.

The Service is continually under development, and we reserve the right to revise or remove any part of this Agreement or the Service at any time without prior notice.

Your continued use of the Service after changes are posted constitutes acceptance of the revised Agreement.

3. Your Relationship With Us; What We Do (and Do Not Do)

Brite Dynamics provides a commercial and educational platform through which users may obtain access to certain products, resources, or services offered by Brite Dynamics and/or third parties (“Third Parties”), including manufacturers, distributors, service providers, and technology partners.

Brite Dynamics does not provide medical services, does not practice medicine, and does not provide telehealth services.

Nothing on the Service constitutes medical advice, diagnosis, or treatment. You should consult a qualified healthcare professional for medical questions.

Any information provided on the Service is for general informational and educational purposes only.

4. Notice Regarding Financial Responsibility and Insurance

Unless explicitly stated otherwise in writing by Brite Dynamics, purchases made through the Service are cash-pay / direct-pay transactions.

Brite Dynamics does not submit claims to Medicare, Medicaid, or private insurance on your behalf.

You are solely responsible for all costs associated with products or services obtained through the Service.

5. Registration; User Accounts, Passwords, and Security

You may be required to register and create an account to access certain features of the Service.

You agree to provide truthful, accurate, and complete information and to keep that information current.

You agree to:

• Keep your username and password confidential
• Log out of your account after each session
• Notify Brite Dynamics immediately of any unauthorized account use

Brite Dynamics may suspend or terminate accounts that violate these terms.

6. License to Information Submitted via the Service

Any information submitted to Brite Dynamics through the Service—including data, questions, feedback, comments, or suggestions (“Submissions”)—may be treated as non-confidential and non-proprietary, subject to applicable law.

You grant Brite Dynamics a royalty-free, worldwide, perpetual, and sublicensable license to use such Submissions for purposes related to operating and improving the Service.

You represent that you have the legal right to grant this license.

7. Use and Ownership of the Service

The Service and its Content are protected by copyright and other intellectual property laws.

Brite Dynamics grants you a limited, revocable, non-transferable license to access and use the Service for personal or internal business purposes.

All rights, title, and interest in the Service remain the property of Brite Dynamics or its licensors.

8. Prohibited Use

You may not use the Service:

For unlawful or fraudulent purposes

To damage or interfere with the Service

To gain unauthorized access to systems

To access data not intended for you

To reverse engineer or decompile the platform

To scrape or harvest information without authorization

To upload malicious software

To send spam or unsolicited communications

For purposes other than the intended business use

Brite Dynamics reserves the right to suspend or terminate access for violations.

9. Third-Party Goods and Services

Third parties may offer products or services through the Service.

All transactions, disputes, warranties, or obligations related to Third-Party Goods and Services are solely between you and the applicable third party.

Brite Dynamics is not responsible for third-party products or services.

10. Terms of Sale

All products and services are subject to availability.

Brite Dynamics reserves the right to:

• Limit quantities
• Reject or cancel orders
• Change pricing

You are responsible for any applicable taxes, duties, or fees.

Payment authorization allows Brite Dynamics to charge your payment method for the total order amount.

11. Termination

Brite Dynamics may terminate or suspend access to the Service at any time without notice.

Certain sections of this Agreement survive termination, including:

• Liability limitations
• Intellectual property provisions
• Arbitration terms

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

Brite Dynamics disclaims all warranties including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement

We do not guarantee that the Service will be error-free or uninterrupted.

13. Limitation of Liability

To the fullest extent permitted by law, Brite Dynamics will not be liable for:

• Indirect damages
• Lost profits
• Loss of data
• Consequential damages

Total liability shall not exceed:

$1,000 USD or the amount paid to Brite Dynamics in the previous three months, whichever is greater.

14. Indemnification

You agree to defend and indemnify Brite Dynamics and its affiliates from any claims, damages, or losses resulting from:

• Your use of the Service
• Violations of this Agreement
• Violations of applicable law

15. Notices

Brite Dynamics may provide notices via:

• Email
• Website announcements
• Postal mail

16. Electronic Communications

By using the Service, you consent to receive communications electronically via:

• Email
• SMS
• Platform notifications

Electronic communications satisfy legal writing requirements where permitted by law.

17. Copyright

Brite Dynamics respects intellectual property rights.

18. Entire Agreement

This Agreement and any policies posted on the Platform constitute the entire agreement between you and Brite Dynamics regarding the Service.

19. Binding Arbitration / Class Waiver

All disputes related to the Platform or Service will be resolved by binding arbitration, not court litigation, except where prohibited by law.

You waive the right to:

• Jury trial
• Class action lawsuits

Disputes will be handled according to the Federal Arbitration Act and applicable arbitration rules.

20. Governing Law

This Agreement shall be governed by the laws of the State of Florida, without regard to conflict-of-law rules.

21. No Agency Relationship

Nothing in this Agreement creates a partnership, joint venture, or agency relationship between you and Brite Dynamics.

22. Assignment

You may not assign your rights under this Agreement without written consent from Brite Dynamics.

Brite Brite Dynamics may assign this Agreement in connection with mergers, acquisitions, or asset sales.

23. Third-Party Beneficiaries

This Agreement does not create rights for any third-party beneficiaries.
